Introduction
These Meritt Terms & Conditions (“Terms”) outline the terms regarding your use of Meritt’s Services and form an integral part of the agreement between you ("you" or "your") and Meritt ("Meritt," "we," "us," or "our"). These Terms are a legally binding contract between you and Meritt. By using or accessing the Services, or registering for a Meritt account, you agree to be bound by these Terms, our Privacy Policy, and the Cookie Policy (together, the “Agreement”). If you do not agree to these Terms, do not use our Services or register for an account.
Our services are dynamic, and we often introduce new features, which may be subject to additional terms or conditions. If you continue to use our services after those changes are in effect, you agree to the revised terms. We will notify you of changes to our terms by posting them on this Website or through other communication channels.
Meritt will act as the data controller for personal data provided to, collected by, or processed in connection with our Services. Your continued use of the Services signifies your agreement to any updates to these Terms, Privacy Policy, and Cookie Policy.
1. The Services
1.1 Meritt provides a platform for candidates to submit job applications including video recordings and for employers (“customers”) to post jobs, accept applicants and subsequently access candidate data and video recordings for hiring purposes. The “Services” include all products and services offered by Meritt, including video-based candidate assessments.
1.2 The Services are intended for personal use by candidates and business use by employers. Meritt reserves the right to terminate your access if the Services are misused.
1.3 You must be at least 18 years of age to use our Services. If local law requires a higher minimum age, you must meet that age requirement.
1.4 You acknowledge that Meritt may provide the Services through its affiliates or third-party providers.
1.5 Meritt reserves the right to occasionally modify the features and operation of the Services and will use reasonable efforts to inform you of any major changes.
2. Grant of Access and Use
2.1 Subject to these Terms and where applicable fees paid by the customer, Meritt grants you a limited, personal, non-exclusive, non-transferable license to access and use the Services for your own recruitment purposes.
2.2 Customers may use the Services to assess candidates for job positions and related recruitment tasks. Any other use of the Services is strictly prohibited unless explicitly agreed in writing with Meritt.
2.3 Meritt reserves the right to suspend or terminate access to the Services if you or any user associated with your account violates these Terms or uses the Services for any unlawful purpose.
2.4 By using Meritt, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete;
- You will maintain the accuracy of such information and promptly update such registration information as necessary;
- You have the legal capacity and you agree to comply with these Terms and Conditions;
- You will not access the application through automated or non-human means, whether through a bot, script, or otherwise;
- You will not use the Meritt for any illegal or unauthorized purpose;
- Our use of Meritt will not violate any applicable law or regulation.
- If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
3. Account Creation and Security
3.1 To use the Services, both candidates and customers must create an account by providing valid information such as an email address and creating a password.
3.2 Customers may be required to choose an appropriate subscription plan based on their company size, number of employees, or other factors. Failure to do so may result in the suspension or termination of the account.
3.3 You are responsible for safeguarding your account credentials and for all activities that occur under your account. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. Meritt.io cannot and will not be liable for any loss or damage arising from your failure to comply with the above. You agree not to share your password or account access with any third party.
3.4 You must notify Meritt immediately of any unauthorized use of your account or breach of security.
4. Use of the Services
4.1 For Candidates:
- By submitting video assessments, you grant Meritt and its customers a worldwide, transferable, sublicensable right to use, modify, distribute, and process the content for recruitment purposes for any role which you apply.
- You agree that your video data may be accessed by multiple employers who use Meritt’s Services for hiring, providing you have applied for the job.
- You are prohibited from recording, disclosing, or sharing any proprietary content (such as test questions or interview scripts) provided by Meritt’s customers.
4.2 For Customers:
- You are responsible for using the Services in compliance with all applicable laws, including employment and anti-discrimination laws.
- You agree not to use the Services to assess candidates for positions that are discriminatory, offensive, or otherwise unlawful.
4.3 General User Responsibilities:
- You agree to use the Services only in a professional manner and to refrain from actions that could harm the reputation or functionality of the platform.
- You are responsible for ensuring that the data you provide (whether as a candidate or employer) is accurate, current, and complete.
4.4 Contact
4.4.1 You agree that Meritt can provide notices and messages to you either within the Services or via the contact information that you provided us (e.g., email, mobile number, physical address) in direct relation to the provision of the Services.
5. Content Ownership and Intellectual Property
5.1 For Candidates:
- You retain ownership of the content (e.g., video recordings) you upload to the platform. However, you grant Meritt and its customers a license to use your content as part of the recruitment process for any role you apply for.
5.2 For Customers:
- Meritt grants you a limited, non-exclusive right to access and use video content from candidates strictly for internal recruitment purposes. You must not share or distribute candidate content outside of your internal recruitment process.
5.3 Intellectual Property Rights:
- Meritt owns all intellectual property rights to the Services, platform, software, and any content provided by Meritt, except for candidate submitted content. You agree not to modify, reverse engineer, or create derivative works based on the Services or platform.
6. Personal Data and Privacy
6.1 We care about data privacy and security. Please review our Privacy Policy. By using Meritt, you agree to be bound by our Privacy Policy, which is incorporated into these Terms and Conditions.
7. Maintenance and Downtime
7.1 The Services may occasionally become unavailable due to scheduled or unscheduled maintenance, modifications, or upgrades. Meritt will make reasonable efforts to notify you in advance of such interruptions.
7.2 Meritt is not liable for any loss or damages incurred as a result of unavailability of the Services, whether due to maintenance or technical failures.
8. Meritt Intellectual Property
8.1 Subject to the terms and conditions of the Agreement, Meritt hereby grants to you, and you accept, a limited, personal, non-exclusive, non-sublicensable, non-transferable, non-assignable license to access and use the Services solely for your own personal use.
8.2 You acknowledge and agree that we, and our licensors, as applicable, own all rights in and to the Services software, including any related software application or component thereof, or to any associated materials or intellectual property, or in or to any enhancements, modifications, updates, or improvements of any of the foregoing (including any feedback you may provide), and all other materials created by us or provided by us to you as part of the Services under the Agreement.
8.3 The Agreement does not grant you any title or right of ownership in or to the Services, or any related software application or component thereof, or to any associated materials or intellectual property, including test content and questions, test algorithms and psychological profiling.
8.4 You are prohibited to modify, translate, decompile, reverse engineer, disassemble, publish, share or adapt the Services and the associated intellectual property rights, or attempt to or abstract the source code from the software underlying the Services or the applications in any other way. You shall not remove or alter any of Meritt’s proprietary or copyright notices, trademarks or logos contained in the Services.
9. Account Suspension and Termination
9.1 Meritt reserves the right to suspend or terminate your account without prior notice if:
- You violate these Terms or use the Services for unlawful purposes.
- You fail to pay fees as required by your subscription plan.
- Your use of the Services threatens the security, availability, or integrity of the platform.
9.2 Termination by You:
You may terminate your account at any time by contacting Meritt support. Upon termination, your data will be deleted or anonymised, except for data that must be retained for legal purposes.
10. Limitation of Liability
10.1 To the greatest extent permitted by applicable law, Meritt and its affiliates will not be liable for:
- Any indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost business opportunities, or lost data.
- Any amount exceeding the total fees paid by the customer to Meritt in the past 12 months.
10.2 Meritt is not responsible for any damages caused by errors, interruptions, or delays in the platform’s operation, or by third-party service providers.
11. Warranties and Disclaimers
11.1. No Warranties:
Meritt provides the Services “as is” and without any warranty or guarantee of performance, availability, or suitability for a particular purpose. You use the Services at your own risk.
11.2 Customer Warranties:
Customers warrant that they have the authority to use candidate data for lawful recruitment purposes and will not misuse the platform.
11.3 Candidate Warranties:
Candidates warrant that the content they submit is accurate, original, and does not infringe upon any third-party rights.
12. General.
12.1 Transferability and subcontracting
You are not allowed to assign or transfer your rights or obligations under this Agreement, nor your account, without the prior and explicit consent from Meritt. Any attempt to do so shall be null and void. However, you agree that Meritt may assign this Agreement or parts thereunder to its affiliates or subcontractors.
12.2 Changes
Meritt is entitled to change and amend these Terms from time to time. We will use reasonable efforts to notify you of any material changes by posting an announcement on the Website or by email. To the greatest extent permitted by applicable law, the new Terms will take immediate effect, and your continued use of the Services following our posting or notice of the changes will constitute your acceptance of the updated Terms.
12.3 Entire Agreement
The Agreement constitutes the entire agreement between you and us with respect to its subject matter and supersedes all prior oral and written understandings, communications, or agreements.
12.4 Severability
If any provision of the Agreement should be found to be void or unenforceable, you and Meritt agree to modify such provision, but only to the extent necessary to comply with the law, and the remainder of the Agreement will remain in full force and effect and will not be terminated.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by the laws of the United Kingdom. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England & Wales.
